This Agreement is a legally binding contract between you and Cleeri ("Company," "we," "us," or "our") governing your use of the Cleeri platform ("Platform"). By accessing or using the Platform, you agree to the terms below.

2. Platform Description

Cleeri is a marketplace where wellness providers can share, recommend, and sell products and services. This may include:

• Cleeri Exchange products with transparent commissions.
• Third-party affiliate links (e.g., brand websites, Amazon).
• Services offered by wellness providers (virtual or in-person).

3. Authentication

We use secure sign-in, including Google OAuth. By signing in, you agree to Google's terms and our Privacy Policy. Cleeri may access your email and basic profile solely for account authentication.

4. Payments & Refunds

• On-platform payments (e.g., Stripe) are processed securely, subject to processor terms.
• External/affiliate orders (e.g., Amazon, brand sites) are subject to those merchants' payment and refund policies.
• Refunds: Cleeri is not the merchant of record for products or services. We are not responsible for issuing refunds for items purchased either on or off Cleeri.

5. Responsibilities

Providers

• Maintain accurate product/service information.
• Comply with applicable laws and licensing requirements.
• Honor commissions, discounts, and fulfillment commitments.

Brand Partners

• Ensure compliance, quality, and lawful use of product listings.
• Provide transparent return and warranty terms.

Customers

• Use the Platform lawfully and responsibly.
• Understand when purchases are fulfilled by third parties.

6. Content & Conduct

We prohibit objectionable content, including material that is offensive, discriminatory, hateful, or unlawful. Accounts may be suspended or terminated for violations.

7. Intellectual Property

Providers and partners retain ownership of their products and content but grant Cleeri a limited license to display and promote them within the Platform. Cleeri owns its software, design, and trademarks.

8. Privacy & Communications

Personal data is handled per our Privacy Policy. You agree to receive transactional communications (e.g., order confirmations). Marketing communications require consent and include opt-out options.

9. Disclaimers

• The Platform is provided "as is" and "as available."
• Cleeri does not provide medical advice.
• We do not guarantee the quality, accuracy, or fulfillment of third-party products or services.
• Refunds, returns, and warranties are the responsibility of providers or brand partners.

10. Limitation of Liability

Cleeri shall not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or goodwill.

11. Termination

Either party may terminate this Agreement at any time. Upon termination, you must stop using the Platform. Outstanding obligations (e.g., pending orders) remain enforceable.

12. Governing Law

This Agreement is governed by the laws of California. Disputes shall be resolved exclusively in California courts, unless required otherwise by law.

Entire Agreement: This document represents the entire agreement between you and Cleeri and supersedes prior understandings. By using the Platform, you acknowledge you have read and agree to these terms.
